Terms and Conditions
These Terms and Conditions ("Terms") govern your access to and use of the website located at starmagnetreviews.com and the Star Magnet Reviews software platform (collectively, the "Service"), operated by Vellarow LLC, doing business as Star Magnet Reviews ("Company," "we," "us," or "our"), located at 2800 E. Enterprise Ave Ste 333, Appleton, WI 54913. By creating an account, starting a free trial, or otherwise using the Service, you ("Customer," "you") agree to be bound by these Terms. If you do not agree, do not use the Service.
1. The Service
Star Magnet Reviews provides automated tools to help businesses collect, manage, and respond to online reviews, including sending review request messages via text and email to Customer's end customers, integrating with Google Business Profile and third-party CRM systems, and providing AI-generated review responses.
2. Eligibility and Account Registration
You must be at least 18 years old and able to form a binding contract to use the Service. You are responsible for maintaining accurate account information and for all activity that occurs under your account and login credentials.
3. Free Trial
We offer a 10-day free trial as described on our pricing page. Unless you cancel before the trial ends, your account will automatically convert to a paid subscription and your payment method will be charged. We may change or discontinue trial offers at any time without notice.
4. Subscriptions, Billing, and Cancellation
- Plans (Starter, Growth, Pro, or as otherwise listed) are billed monthly on a recurring basis through our payment processor, Stripe.
- Subscriptions renew automatically each billing cycle until cancelled.
- You may cancel at any time through your account dashboard or by contacting us; cancellation takes effect at the end of the current billing period. No partial-month refunds are provided.
- We may change pricing with at least 30 days' notice. Continued use after a price change constitutes acceptance.
- You are responsible for all applicable taxes.
5. Your Responsibility for Consent and Messaging Compliance
This section is critical. The Service sends automated text messages and emails to individuals you designate (your customers or end users) on your behalf.
- You represent and warrant that you have obtained proper, documented consent from each individual before submitting their contact information for automated review requests, in compliance with the Telephone Consumer Protection Act (TCPA), CAN-SPAM Act, CTIA guidelines, and all other applicable laws in your jurisdiction and theirs.
- You are solely responsible for maintaining records of consent and honoring opt-out or "STOP" requests promptly.
- You will not use the Service to contact individuals who have not consented, who are on a do-not-contact list, or in any way that violates applicable telemarketing, texting, or email laws.
- You agree to indemnify and hold Company harmless from any claim, fine, or penalty arising from your failure to obtain or maintain proper consent, including third-party claims brought by message recipients.
Company is a technology provider only. We are not responsible for verifying consent you claim to have obtained, and we bear no liability for messages sent using data you upload or connect through your CRM or Google Business Profile integration.
6. Review Content and Prohibited Practices
You agree not to use the Service to:
- Generate, request, or post fake, incentivized-without-disclosure, or fraudulent reviews
- Filter or suppress negative reviews in a manner that violates FTC guidelines on review solicitation (e.g., routing only satisfied customers to public platforms while actively suppressing dissatisfied ones is generally permitted, but Company reviews of specific implementations may be required if flagged by a third party such as Google)
- Violate Google's Business Profile or review policies, or those of any third-party platform the Service integrates with
- Upload contact data you do not have the legal right to use
We reserve the right to suspend or terminate accounts that violate this section or that cause a third-party platform (e.g., Google) to flag, penalize, or restrict Company's own systems.
7. Third-Party Services
The Service integrates with third parties, including Google Business Profile, Stripe, and CRM providers you connect. Your use of those integrations is also subject to that third party's own terms and privacy policies. We are not responsible for the availability, accuracy, or acts of third-party platforms, including changes Google or others make to their APIs, policies, or review systems that affect the Service.
8. Intellectual Property
The Service, including all software, design, text, and branding, is owned by Company or its licensors. You retain ownership of the content and customer data you upload, and you grant us a limited license to use it solely to provide the Service to you.
9. Disclaimer of Warranties
The Service is provided "as is" and "as available" without warranties of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not guarantee any specific number of reviews, ranking improvement, or revenue outcome. Statistics referenced on our website (e.g., regarding consumer review behavior) are illustrative industry figures, not guarantees of results for your business.
10. Limitation of Liability
To the maximum extent permitted by law, Company's total liability arising out of or related to the Service will not exceed the amount you paid to Company in the three (3) months preceding the claim. Company will not be liable for indirect, incidental, consequential, or punitive damages, including lost profits or lost business, even if advised of the possibility of such damages.
11. Termination
We may suspend or terminate your access to the Service at any time, with or without cause, including for violation of these Terms, non-payment, or conduct that creates legal or platform risk for Company. Upon termination, your right to use the Service ends immediately; certain provisions (billing owed, indemnification, liability limits, IP) survive termination.
12. Changes to These Terms
We may update these Terms from time to time. We will post the updated version with a new "Last Updated" date. Continued use of the Service after changes take effect constitutes acceptance of the revised Terms.
13. Governing Law and Disputes
These Terms are governed by the laws of the State of Wisconsin, without regard to conflict-of-law principles. Any dispute arising from these Terms or the Service will be resolved in the state or federal courts located in Outagamie County, Wisconsin, and you consent to personal jurisdiction there.
